Online Training Terms and Conditions
These are our terms and conditions of business. You should feel confident and comfortable when purchasing training services from us, and we ask you to agree to these terms and conditions when placing an order. Please feel free to contact us with any questions by eMail: training@theitc.co.uk.
DEFINITIONS
- "Buyer" means the individual or organisation that buys or agrees to buy the Services from the Seller.
- "Services" means the training courses that the Buyer buys from the Seller via the Internet.
- "Seller" means The ITC, Oak House, Groes Lwyd, Abergele, Conwy, LL22 7SU.
- "Course Provider" means Jenison eLearning Solutions.
- "Course Provider’s Website" means http://justintime.jenisonhosted.co.uk/cortex/frame.htm (For technical reasons, we advise you to use an up-to-date version of Microsoft Internet Explorer as your Internet browser when visiting the Course Provider's Website .)
- "Website" means http://www.theitc.co.uk.
CONDITIONS
Nothing in these Terms and Conditions shall affect the Buyer’s statutory rights as a Consumer.
These Terms and Conditions shall apply to all contracts for the sale of Services by the Seller to the Buyer and shall prevail over any other documentation or communication from the Buyer.
Placing an order and paying for a training course(s) via the Website shall be deemed conclusive evidence of the Buyer’s acceptance of these Terms and Conditions.
Any variation to these Terms and Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller.
The Seller reserves the right to make changes to pricing at any time without any due notice to consumers.
The online training courses to which these terms and conditions relate are copyrighted: no part of any of the training courses may be downloaded, printed, copied, photocopied or reproduced in any form or by any means without permission, in writing, from the Course Provider.
All trademarks, service marks, products or services are trademarks or registered trademarks of their respective holders and are acknowledged by the authors.
Our online training courses and all materials supplied for training are designed to (i) familiarise the Buyer with the operation of software programs, or (ii) introduce business concepts, theories, skills and techniques, depending on the individual online training course selected. For training courses designed to familiarise the Buyer with the operation of software programs, we strongly recommend that the Buyer reviews the manuals provided by publisher of the software programs regarding specific questions as to the operation of these programs.
In the unlikely event of problems with the Service, the Buyer should report them to the Seller as soon as they are discovered. Service problem notifications should be sent via eMail to: training@theitc.co.uk.
DURATION OF SERVICE
Following purchase, the Buyer shall have access to the online training courses provided by the Seller via the Course Provider’s Website, for a period of one calendar year, commencing on the first full day after access to the online training courses in question was assigned.
As an example, if the Buyer purchases the online training course 'Developing Leadership' (Code: ITC 44) on 1st October and access is granted by the Seller on the same day, the Buyer will have access to the online training course until 30th September the following year.
MEMBERSHIP RESTRICTIONS
The online training courses are provided to the Buyer on behalf of the Seller by the Course Provider and are the copyrighted work of the Course Provider.
Each member is granted a unique user ID and password, which are used to gain access to the materials contained within the Course Provider’s Website. Under no circumstances whatsoever may any registered user share or distribute their user ID or password to third parties. Any breach of this term will result in immediate suspension of the user’s account.
Under no circumstances whatsoever shall members distribute any part of the online training courses purchased; any member found to be in breach of this term shall have their account suspended immediately.
No part of the Course Provider’s Website, including logos, graphics, or images, may be reproduced or retransmitted in any way, or by any means, without prior express written permission from both the Seller and the Course Provider. You also may not, without the prior express written permission from both the Seller and the Course Provider, ‘mirror’ any material contained on this Website or the Course Provider’s Website on any other server.
Any unauthorised use of any Materials contained on this Website may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.
PRICES AND PAYMENT
All training course prices shown on this Website include VAT (at 17.5%). Prices do not include the cost of delivery: as this is an online service, there is no physical delivery involved, so the Buyer is not subject to any postage charge. The full price of the order will be clearly shown in the shopping cart prior to the Buyer confirming the order.
Payment must be made in full before the training courses can be accessed.
CANCELLATION
By committing to buy online training courses, the Buyer understands that their right to cancel the order will end as soon as the Service begins. This is in accordance with the rights of the Seller under the Distance Selling Regulations.
The Service will be deemed to have begun as soon as the Seller has set up the Buyer’s access to the online training courses on the Course Provider’s Website. This will be confirmed in an eMail sent to the eMail address provided by the Buyer when they placed the order. This eMail will also contain the Buyer’s login details.
RIGHTS OF THE SELLER
The Seller reserves the right to adjust the price and specification of any item on the Website at its discretion.
The Seller reserves the right to withdraw any Services from the Website at any time.
The Seller shall not be liable to anyone for withdrawing any Services from the Website or for refusing to process an order.
LIMITATION OF LIABILITY
Except as may be implied by law where the Buyer is dealing as a Consumer, in the event of any breach of these Terms and Conditions by the Seller the remedies of the Buyer shall be limited to damages which shall in no circumstances exceed the Price of the Services and the Seller shall under no circumstances be liable for any indirect, incidental or consequential loss or damage whatever.
Nothing in these Terms and Conditions shall exclude or limit the liability of the Seller for death or personal injury resulting from the negligence of the Seller or that of the Seller’s agents or employees.
WAIVER
No waiver by the Seller (whether express or implied) in enforcing any of its rights under this contract shall prejudice its rights to do so in the future.
FORCE MAJEURE
The Seller shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, power failure and communication network downtime, and the Seller shall be entitled to a reasonable extension of its obligations.
SEVERANCE
If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid illegal or unenforceable provision eliminated.
CHANGES TO TERMS AND CONDITIONS
The Seller shall be entitled to alter these Terms and Conditions at any time. However, this right shall not affect the existing Terms and Conditions accepted by the Buyer upon making a purchase.
GOVERNING LAW AND JURISDICTION
These Terms and Conditions shall be governed by and construed in accordance with the law of England and Wales, and the parties hereby submit to the exclusive jurisdiction of the English and Welsh courts.
AGE OF CONSENT AND AUTHORITY TO USE PAYMENT CARD
By placing an order the Buyer is declaring that he/she is the appropriate legal age to purchase the online training course(s) and has authority to use the payment card to place the order. If the Seller discovers that the Buyer is not legally entitled to order certain Services (e.g. if the Buyer is found not to be of sufficient age to order certain Services or that the Buyer does not have authority to use the payment card), the Seller shall be entitled to cancel the order immediately, without notifying the Buyer, and the Seller will not be obliged to complete the order.
